Boring legal stuff… but it's important.

This is an agreement between our two companies. It contains some legal stuff, but I think it’s important to make sure we are all protected. By signing off on the proposal for your new website, you agree to the following…

Your New Website

Changes and revisions

We know from plenty of experience that fixed-price contracts are rarely beneficial to you, as they often limit you to your first idea about how something should look, or how it might work. We don’t want to limit either your options or your opportunities to change your mind.

The estimate/quotation/proposal costs that you have been provided are based on a number of factors, including the number of pages we agreed you require, and the features we agreed are required to deliver a website that would meet your business objectives.

Should you change your mind, and want to add additional pages or features to your website that were not a part of the original quote, that won’t be a problem. What will happen is, following a consultation on your additional requests, Inspiring Design Company will provide you with an estimated cost and time to deliver your additional requested pages or features. You may approve or decline the quote. If approved, the additional requirements will be added to the project scope and the extra costs will be added to the final project invoice. If declined, the additional requirements will not be added to the project scope and you will not be charged additional costs.

In the event you would like to remove elements from the scope of the agreed upon project, such as fewer pages or removing features that were a part of the original estimate/quotation/proposal, please provide written notification and rationale to Inspiring Design as early as possible in the project. If the pages or features requesting to be removed have NOT yet been implemented or started, Inspiring Design will remove the features and edit the final invoice accordingly by the estimated costs of the specific components that are not a part of the project.

Time Frames

The time it takes to complete your website is dependent on many variables such as the website size and the options selected. I will also require you complete the questionnaire and to provide me with content and photos prior to the design phase, so that takes time as well.

REPEAT: The assets I require from you are necessary PRIOR to Inspiring Design Company starting the design phase of your website.

Once I receive the deposit, I will let you know when your project will be scheduled in. That means that all your content must be ready by that time or your project could be further delayed. Let me know right away if you have a specific deadline you are aiming for.

Web Hosting with your own Host

You may already have professional website hosting, or opt to purchase and manage the web hosting yourself; if that’s the case, great. Inspiring Design Company recommends SiteGround for superior WordPress website hosting. Inspiring Design will require access to your hosting’s Control Panel to install your new website. If your web host does not have a Control Panel, we will require a database be created, access to your FTP and additional fees may be incurred to set up your website.

In this scenario, Inspiring Design is not responsible for hosting, emails or any other items that are part of your hosting plan.

All website hosting companies are not all created equal. Some are better than others, and some are much worse than others. If Inspiring Design feels that your website hosting company is detrimental to your website speed or performance, we will make that clear to you and recommend that you switch hosting companies. Additional, agreed-upon fees may apply to move your website from one host to another.

Inspiring Design reserves the right to decline to continue with your website if your hosting company is responsible for delays in the project or preventing it from proceeding due to technical limitations or inadequate support.

Web Hosting with Inspiring  Design Co.

If you don’t manage your own website hosting, we can provide hosting on our shared hosting plan with SiteGround for a flat rate monthly fee.

Included with hosting with Inspiring Design are up to 5 email addresses. You will be provided with the account info to set up your email and/or we can forward the emails to another email address such as a Gmail account.

If you purchase web hosting from us, we will offer support for our hosting and email only. If you have additional email service from a third party such as Google for Business, it is your responsibility to notify Inspiring Design prior to hosting setup to ensure you do not experience any downtime, loss of email or services.

Inspiring Design Company is not responsible for any loss of revenue due to web hosting or email downtime. In the event of a downed website or email, we will do everything to get your website or email up and running as quickly as possible, which may include migration of your website to an alternate server or hosting plan.

If you are using a third-party email service such as Google Mail, additional setup charges may apply. Please notify Inspiring Design Co. at the beginning of the project if you are using any third-party services.


Your new website will be built using the WordPress Content Managment System (CMS). With WordPress and other CMS systems, it is imperative that your website is maintained on an ongoing basis. Included in the maintenance are backups of the database and files, malware scans, update of plugins, themes and core WordPress software at the bare minimum.
During the development phase of your website, Inspiring Design Co. is fully maintaining your new website in development including backups.
Following the completion of your website, you may choose to be responsible for your own website maintenance or you may choose to have Inspiring Design Co. manage your website maintenance for an agreed upon monthly fee. This monthly fee will be locked in for a period of 12 months. Following the 12 months, if a price increase is required, Inspiring Design will notify you of any changes prior to.
When you purchase an Inspiring Design maintenance plan for your website, it only includes the necessary maintenance that is required each day/week and month to maintain the website. The maintenance fee also includes up to one hour of time required to fix any issue that may have arisen with your website due to unforeseen circumstances, including if the issue was caused by the necessary maintenance. Any time beyond one hour to correct any issues with your website will be invoiced at $75/hour. In this case, you will be notified prior to any costs being incurred. If no extra time is required to maintain your website in any given month, no refund will be provided and no time will be banked to following months.
Website maintenance costs do not include client requested updates to the website such as text or photos. The client requested updates to the website are quoted and invoiced on a per request basis.
NOTE: If your website is being hosted with Inspiring Design’s shared hosting, a monthly maintenance plan is mandatory.

Website Ownership

Once final payment is completed, you will have exclusive rights of use of your new website. However, various software, plugins and themes used in the creation of your website remain the ownership of the various developers that have created them. Inspiring Design Company retains the right to use images of the website for marketing purposes only and post copies of it online and on social media. All files used in the creation of the final artwork and not necessary for the functioning of the final website, remain the exclusive ownership of Inspiring Design Company.

Software Licensing

To build your website, Inspiring Design relies on premium plugins and themes for the required functionality. Inspiring Design also purchases agency licences for some required premium plugins and themes. Some of these licences, however, require annual renewals. While Inspiring Design Company will offer to renew the licences for your website on an ongoing basis, Inspiring Design Company is not held responsible to continue to update all the licences required for your new website for the lifetime of your website. Usually, the licencing fees are minimal annual renewals.

Some add-ons to your website are specific to your website only and may require monthly or annual licencing fees. Inspiring Design Co. will notify you and request approval of the monthly expense to cover the licencing fees. Monthly expenses will be identified in your original estimate/quotation/proposal.

If you prefer, you may purchase the licence for required plugins and manage the renewals yourself.

Some more boring but important legal stuff


You will supply us with photographs in digital format. If you choose to buy stock photographs we can suggest vendors of stock photography. Any stock photos we search out are billed starting at $25 each.

Out of pocket expenses

Any out of pocket expenses will be invoiced at the final project invoice.

Other Stuff

Because of the nature of our industry, we can’t guarantee any specific results in any deliverables in this agreement. Also, we cannot guarantee that the functions contained in any web page templates or in a completed website will always be error-free and so we can’t be liable to you or any third party for damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this website and any other web pages, even if you have advised us of the possibilities of such damages.

It is your responsibility to review all proofs when supplied, ensuring all copy is 100% accurate, including but not limited to, names, contact information, addresses, dates, time-sensitive information etc. We at Inspiring Design are not as familiar with your organization and cannot confirm all data is accurate. This also includes copy that was supplied to us accurately, but in the transferring process to design, may be modified or edited. This is very rare, but computer error and human error can happen, that is why you need to proof-read everything thoroughly.

If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

Late Payment

Payments late beyond 30 days are subject to 1.5% interest monthly.
